Bylaws of the
Owego Elementary School
Parent Teacher Organization

Article I – Name
1. This organization shall be known as the Owego Elementary School
Parent Teacher Organization (OES-PTO).
2. See Article IV : 1,2.

Article II – Purposes
This nonprofit organization is organized exclusively for the following
purposes:
1. To promote the health, education, and welfare of the children.
2. To promote communication between parents and/or guardians, students,
educators, and the community.

Article III – Basic Policies
1. No part of the net earnings of the association shall inure to the
benefit of any member, officer of the association, or any private
individual (except that reasonable compensation may be paid for services
rendered to or for the association), and no member, officer of the
association, or any private individual shall be entitled to share in the
distribution of any of the association assets on dissolution of the
association.
2. The association shall be non-commercial, non-sectarian, and
non-partisan.
3. The organization shall not-directly or indirectly participate to any
extent in any political campaign for or against any candidate for public
office, or devote more than an insubstantial part of its activities to
attempting to influence legislation.
4. In the event of dissolution, all of the remaining assets and property
of the association shall, after necessary expenses thereof, be
distributed to such organizations that qualify under Section 501 (c) (3)
of the Internal revenue Code 1954, as amended, or, to another
organization to be used in such a manner as in the judgment of a Justice
of the Supreme Court of the State of New York will best accomplish the
general purpose for which the association was formed.
5. Expenditure of all money, committee recommendations, and all business
that affects the Owego Elementary School Parent Teacher Organization
shall be voted upon and passed by two-thirds of members present at
an advertised general meeting. If a general meeting cannot be called, the
Executive Board may spend up to $500 on behalf of the organization. This
decision must be registered at the next general meeting.

Article IV – Membership
1. General membership is open to any person who has an interest in the
welfare of the students of the Owego Elementary School.
2. Voting membership will be limited to parents and/or guardians of
children enrolled in the Owego Elementary School and the staff of
the Owego Elementary School.
3. Membership shall be from September 1st through August 30th of the following year.

Article V – Executive Board
1. The Executive Board shall be composed of, but not limited to, the
President or Co-Presidents, Vice President, Treasurer, Secretary, Principal and up to 4 staff
representatives.
2. A vacated office shall be filled by appointment of the Executive Board,
with the exception of the office of President. If an Officer misses more than 3 general
meetings in a membership year, the Executive Board may ask the Officer to step down.
3. The voting members of the Executive Board shall be those specifically
mentioned in Article V, Section 1.
4. A majority of the voting members of the Executive Board must be
present to conduct business. Decisions of the Executive Board are
determined by the majority rule.
5. The Executive Board will meet a minimum of 2 times per year, one of which is
in August to review the proposed Budget prepared by the Treasurer.

Article VI – Officers
1. The officers of the Owego Elementary School Parent Teacher
Organization shall consist of a President or Co-Presidents, Vice
President, Treasurer, and Secretary.
All officers shall be limited to not more than two consecutive terms in
any one office, unless the office remains vacant.
2. The elected officers are expected to attend both general meetings and Executive Board
meetings. If an officer misses more than 3 general meetings, the Executive Board can ask
the Officer to step down from the position.
3. Officers shall assume their official duties at the close of the June
meeting and shall serve for a term of two years and/or until their
successors assume office.
4. No person shall hold more than one office at the same time.
5. The offices of President and Treasurer shall not be held by first year members.
6. The duties of the elected officers are as follows:
a. President shall:
(1) Preside at all meetings of the Owego Elementary School Parent
Teacher Organization, or designate an other Officer to officiate the meeting in his/her
absence.
(2) Be empowered to conduct such official business as may be necessary by
mail or electronic communication.
(3) Appoint a qualified and impartial person to audit the books on an
annual basis.
(4) Request committee reports from each chairperson at each general
meeting.
(5) Appoint all non-standing committee chairpersons.
b. Vice-President shall:
(1) Aid the President/Co-Presidents in the performance of his/her duties
and perform these duties in the absence of the President/Co-Presidents.
(2) Succeed the President/Co-Presidents if he/she is unable to perform
the duties of President/Co-Presidents.
(3) Collect reports from the committees, review such reports for clarity,
and maintain and file such reports for future reference.
(4) Other significant duties at the discretion of the
President/Co-Presidents.
c. Treasurer shall:
(1) Receive all revenues of the Owego Elementary School Parent Teacher Organization,
keeping a written record of their receipt and
disbursement and presenting a financial statement at each meeting.
(2) Prepare a financial report which is to be submitted to the membership
before the end of the membership year. The report shall be audited
annually by a qualified and impartial person.
(3) Present a proposed budget to the Executive Board in August and also present
this budget at the September general meeting.
(4) Other significant duties at the discretion of the
President/Co-Presidents.
d. Secretary shall:
(1) Maintain and file accurate records of all meetings of the Owego
Elementary School Parent Teacher Organization.
(2) Present minutes of the preceding meeting for approval at the general
meeting and post minutes as approved.
(3) Conduct correspondence pertinent to the Owego Elementary School
Parent Teacher Organization and file a copy.
(4) Prepare the monthly PTO Newsletter (Sept – June) and send home with
all children and staff.
(5) Notify membership of meetings of the organization.
(6) Other significant duties at the discretion of the
President/Co-Presidents.
5. Pertinent information will be submitted in writing to newly elected
officers by outgoing officers no later than one month after their term
of office expires.

Article VII – Staff Representation
Staff Representatives shall:
1. Be selected each spring and will serve a 1 year term. Representatives
may be re-appointed after one year.
2. Report back to the building staff on a regular basis.
3. Relay concerns, questions, and interests of the building faculty and
staff to the Executive Board
of the Owego Elementary School Parent Teacher Organization.

Article VIII – Committees
1. Committee chairpersons shall be appointed at the May or June meeting of the
school year, if possible.
2. Committee chairpersons are encouraged to attend Executive Board
meetings. If a Committee chairperson wishes to present a report, the
President/Co-Presidents shall be notified atleast a few days before the general
meeting.
3. All committee chairpersons are to give a report (written or verbal) at the next general meeting
within 30 days of the completion of the committeeĆ­s duties.

Article IX – Nominating Committee
1. The Executive Board may (if needed) appoint a Nominating Committee, consisting
of at least one who shall be selected from Executive Board, and four
selected from the general membership, none of whom are candidates for
office. This committee shall select its own chairperson.
2. The Nominating Committee shall be selected in March or April.
3. The Nominating Committee shall nominate a slate of officers and accept
nominations from the floor at the April or May meeting. Only those persons who
have signified their consent to serve if elected shall be nominated to
office.
4. Voting will take place at least 14 days after the April or May meeting and no
later than June 10th each year. Appointments are made in the June meeting.
5. Voting at elections will be restricted to staff members and other voting members
who have attended at least two OES PTO meetings and/or volunteered during at least
two OES PTO events during the current school year.

Article X – Budget Committee
1. The committee will consist of the Treasurer and two members of the
Owego Elementary School Parent Teacher Organization. The
Treasurer is the chairperson of the committee.
2. Meet as necessary to prepare for an annual review and to prepare a proposed budget for
the August Executive Board meeting.

Article XI – Amendments
1. These bylaws may be amended at a general meeting by two-thirds vote
of the members present providing prior notice of the meeting has been
given. A review for possible revisions shall be done at least every two
years.
2. All proposed bylaws, revisions or amendments must be presented to the
Secretary in written form.
3. The Secretary will maintain a log of proposed revisions or
amendments to these bylaws.

Article XII – Meetings
1. At the September general meeting, all officers and committee chairpersons will be
announced and a proposed budget, a tentative calendar of events, and
proposed fund raising events shall be presented.
2. A minimum of 5 voting members must be present to conduct business at a
general meeting.
